Licensing Terms
Last updated: September 16, 2026
1. Scope and acceptance
These Licensing Terms explain how digital products, source files and other licensed materials obtained through NexoRush may be used. NexoRush is operated by GlobalBay(“GlobalBay”, “NexoRush”, “we”, “us” or “our”).
These Licensing Terms form part of the contract between GlobalBay and the purchaser or authorised licensee (“Buyer”, “Licensee”, “you” or “your”). They must be read together with the Terms and Conditions, Refund Policy, Copyright Policy, the selected license shown at checkout, the product listing and any product-specific terms disclosed before purchase.
You accept the version recorded at checkout by selecting the licensing checkbox and completing the purchase. If you do not agree, do not purchase, download, install, copy or use the product.
2. Merchant of Record and source of rights
GlobalBay sells the digital product or license to the Buyer as Merchant of Record. The original Seller or creator retains ownership of their intellectual property unless a separate written assignment states otherwise.
The Seller grants GlobalBay the rights needed to market, host, distribute and license the product through NexoRush. GlobalBay grants the Buyer the selected license on the basis of those rights. Purchasing a product transfers a limited right of use only; it does not transfer copyright, source ownership, trademarks, patents or any other intellectual-property ownership.
3. License record and activation code
The applicable license type, product, order item, purchase date and activation or purchase code may be recorded in the Buyer account and in the files delivered with the purchase. The NEXORUSH-LICENSE.txt file and signed provenance.json manifest help identify the licensed copy but do not expand the permissions stated in these Licensing Terms.
Keep activation and purchase codes private. You may provide a code to the Seller or NexoRush only where reasonably required for support or license verification. You must not publish, sell or share a code with an unauthorised person.
4. General characteristics of every license
Unless the checkout or product-specific terms expressly state otherwise, every license is:
non-exclusive — the same product may be licensed to other Buyers;
limited — only the uses permitted by the selected license are authorised;
non-transferable — the license may not be sold, assigned or given to another person except as expressly permitted for client work;
non-sublicensable — you may not grant standalone rights in the original files to another person;
worldwide — use is not geographically restricted unless the listing clearly states otherwise; and
subject to payment and compliance — fraud, an invalid payment or a material license breach may suspend or terminate the license.
5. Personal License
A Personal License permits one Licensee to use the product for personal, educational, portfolio or other non-commercial purposes. Unless the product page clearly provides broader rights, it covers one personal end project.
Permitted under a Personal License
installing and using the product for your own non-commercial project;
modifying the product for that permitted project;
using it for private learning, testing or evaluation; and
showing the completed non-commercial end project in your personal portfolio.
Not permitted under a Personal License
client work, business operations, paid services, advertising or revenue-generating activity;
use by a company, agency, team or multiple unrelated users;
resale, redistribution, sublicensing or public sharing of original or modified source files; or
incorporation into a product, template, library or service offered to other people.
6. Commercial License
A Commercial License permits the purchasing Licensee to use the product in commercial activity, internal business projects and client work. The product-specific listing may state a project, seat, installation, domain, application or end-product limit. If no such limit is disclosed before checkout, the Commercial License may be used by the same Licensee across multiple end projects, provided the original product or its source files are not redistributed or made available as a competing or substitutable product.
Permitted under a Commercial License
using and modifying the product for the Licensee's own commercial websites, applications, campaigns or internal tools;
using it to create completed work for a client;
providing a client with the completed end product where the original files cannot be readily extracted and reused as a standalone product; and
allowing employees and contractors to access the files only as necessary to build the Licensee's permitted project, subject to confidentiality and no-redistribution duties.
Not permitted under a Commercial License
reselling, redistributing or sublicensing the product or source files as a standalone item;
placing the product in a repository, asset library, download area or shared drive accessible beyond the authorised project team;
creating a template, theme, component library, stock asset or downloadable product that allows others to extract or reuse the original product;
white-labelling or rebranding the original product for resale;
using one purchase to operate a marketplace, software-as-a-service builder or on-demand generation service that exposes the underlying asset; or
representing the original product as wholly created by you.
7. Client work
Under a Commercial License, you may create an end project for one or more clients within the selected license limits. You remain the Licensee and responsible for compliance unless the product-specific terms expressly allow assignment.
You may give a client the completed end project and the practical rights required to use it. You may not give the client broader rights in the original template, source package, library or reusable components than these Licensing Terms allow. A client that needs independent access to, reuse of or development from the original product must obtain its own appropriate license.
8. End products and derivative work
You may modify a product only for a use permitted by your selected license. Your original additions may belong to you, but modifying a product does not remove the Seller's rights in the original material or turn the original product into an independently redistributable work.
An “end product” is a completed website, application, design, document, campaign or other implementation that incorporates the licensed product and is materially adapted for its intended use. Merely changing colours, names, text, packaging or a small number of visual elements does not make a standalone template or asset eligible for resale.
9. Teams, contractors and account access
Only the purchasing account receives the license. A Commercial License may allow employees or contractors to access files solely to work on the Licensee's permitted project. They must be bound by confidentiality and may not retain or reuse the files for another customer or purpose.
You remain responsible for their conduct. Sharing your NexoRush account credentials is prohibited. Files should instead be shared through a secure project-controlled method only to the extent allowed by the license.
10. Third-party components and open-source software
A product may contain third-party fonts, images, icons, libraries, plugins, open-source software or other components. Their own licenses, attribution requirements and usage restrictions continue to apply and may differ from these Licensing Terms.
The Seller must identify material third-party requirements in the listing or accompanying documentation. Where an applicable open-source or third-party license grants rights that cannot lawfully be restricted by these Licensing Terms, that third-party license controls for the relevant component only. These Licensing Terms continue to apply to the remainder of the product.
Unless expressly stated, a NexoRush purchase does not include separate paid subscriptions, hosting, domain names, third-party API usage, stock-media rights or premium plugin licenses.
11. Artificial intelligence and dataset use
Unless the product-specific license expressly permits it, you may not use the product, source files or extracted assets to train, fine-tune, evaluate or build a machine-learning model, generative-AI system, dataset or asset-generation service.
This restriction does not override a copyright exception or other right that cannot lawfully be excluded. It also does not prohibit ordinary AI-assisted editing of a permitted end project where the product is not uploaded to an unauthorised training dataset, exposed to unrelated users or used to generate substitutable copies.
12. Software-specific rules
You may install, run, configure, test and modify software only as needed for the use permitted by the selected license. You must preserve material copyright notices and comply with documented technical limits.
You may not reverse engineer, decompile, disassemble, bypass access controls or extract protected components except to the extent that such activity is expressly permitted by applicable mandatory law, including lawful interoperability rights. Information obtained under a mandatory exception may be used only for the legally permitted purpose and must not be used to create or market a substantially similar infringing product.
13. Prohibited uses applying to all license types
Unless GlobalBay and the relevant rights holder expressly agree otherwise in writing, you must not:
sell, rent, publish, upload, share, gift, mirror or redistribute the product or source files;
make the product available through torrents, public repositories, shared accounts or download links;
remove provenance, activation, copyright, trademark or legally required attribution information;
use the product to infringe rights, deceive users, distribute malware, unlawfully process personal data or conduct illegal activity;
use the product's branding, demo names or trademarks in a way that suggests endorsement or ownership;
evade license verification or fabricate, alter or reuse a purchase record; or
assist another person to do any prohibited act.
14. Product-specific terms and order of precedence
A product page may include additional license permissions or reasonable restrictions. Product-specific terms apply only if they were clearly available before checkout and recorded or incorporated into the purchase.
If documents conflict, the following order applies:
a separately signed custom license;
the selected license and product-specific terms displayed at checkout;
these Licensing Terms; and
general product marketing material.
A hidden file or term delivered only after payment cannot remove mandatory consumer rights or materially reduce the license presented at checkout.
15. Freelance and custom-service deliverables
These standard Personal and Commercial Licenses apply primarily to digital products. A freelance project is governed by its accepted listing, package, custom offer and project brief.
Unless the project expressly provides for an assignment, each party retains its pre-existing intellectual property, tools, libraries, know-how and reusable components. After full payment, the Buyer receives the usage rights expressly stated in the project brief for the completed deliverable. The Seller must identify material third-party and open-source components and cannot assign rights that the Seller does not own.
If a freelance project includes a separately listed NexoRush digital product, the selected product license also applies to that product. Payment for a service alone does not automatically transfer all copyright in the Seller's background materials or source libraries.
16. Support, updates and compatibility
A license does not include lifetime support, updates, installation or customisation unless the product page, support plan or order expressly includes them. The support type and duration recorded with the purchase control.
The Seller must accurately disclose material compatibility requirements. Buyers remain responsible for checking disclosed requirements before purchase. Mandatory rights relating to conformity, security updates and remedies remain unaffected.
17. Digital-content conformity and mandatory rights
Nothing in these Licensing Terms limits mandatory consumer rights. Where applicable law requires digital content to conform to the contract, the Buyer may be entitled to correction, replacement, a proportionate price reduction or termination and refund under the applicable conditions.
A third-party intellectual-property restriction that prevents the licensed use may constitute a lack of conformity. GlobalBay may seek information reasonably necessary to diagnose a reported problem, using the least intrusive appropriate method.
18. Refunds, chargebacks and license status
A valid full refund, payment reversal or successful chargeback normally terminates the corresponding license. After termination, you must stop using the product and delete copies under your control, except records that must be retained by law.
A partial refund does not automatically terminate the license unless the resolution expressly states otherwise. Statutory remedies, valid conformity claims and other mandatory rights remain governed by the Refund Policy and applicable law.
Downloading a product may affect a change-of-mind withdrawal right where the Buyer expressly requested immediate digital supply and acknowledged the applicable consequence, but it does not remove remedies for non-conforming, unsafe, inaccessible or unlawfully supplied content.
19. Suspension and termination for breach
GlobalBay may suspend license verification or access where there is credible evidence of fraud, an invalid payment, unauthorised redistribution or a material breach. Where appropriate, we may first request that the breach be corrected.
A license may be terminated if a material breach is not cured within a reasonable period, cannot be cured, or involves deliberate piracy, fraud, malware or serious infringement. Termination does not limit claims or remedies that arose before termination.
If you believe a license restriction is incorrect, contact support with the order reference and relevant evidence. GlobalBay will review the record and may restore, correct or replace the license record where appropriate.
20. Intellectual-property complaints
If you believe a product infringes your rights, use the process described in the Copyright Policy. GlobalBay may restrict access while a sufficiently substantiated complaint is reviewed.
If a product is removed, existing Buyers may lose the ability to download it again where continued distribution would be unlawful or unsafe. Removal does not by itself determine ownership or eliminate any mandatory remedy available to the Buyer.
21. No implied rights
All rights not expressly granted are reserved by the relevant rights holder. No right arises from course of dealing, platform access, possession of a file, technical ability to copy it or failure to enforce a restriction on an earlier occasion.
22. Changes to these Licensing Terms
The version accepted and recorded at checkout governs the purchased license. Later changes do not retroactively reduce a license already granted, except where a change is required by mandatory law or is necessary to address unlawful content, malware, a security threat or infringement.
Updated terms may apply to future purchases. Where a material change affects an ongoing digital service or legally requires notice, GlobalBay will provide the notice and options required by applicable law.
23. Governing law
These Licensing Terms are governed by the laws of the Netherlands, without prejudice to mandatory consumer protections and intellectual-property rules that apply regardless of the chosen law. The competent courts of the Netherlands have jurisdiction unless mandatory law permits or requires another forum.
