Terms and Conditions
Last updated: September 16, 2026
These Terms and Conditions (the “Terms”) govern access to and use of NexoRush, a digital marketplace operated by GlobalBay (“GlobalBay”, “NexoRush”, “we”, “us” or “our”). They apply to visitors, buyers and sellers, together with any transaction-specific terms shown before checkout.
By creating an account, using NexoRush or completing a transaction, you agree to these Terms and the policies incorporated into them. If you do not agree, you must not use NexoRush. Nothing in these Terms limits rights that cannot lawfully be excluded or restricted.
1. Definitions
Buyer means a person or organisation purchasing a Digital Product or Freelance Service through NexoRush.
Seller means an independent person or organisation that supplies Digital Products, licences, professional services or deliverables to GlobalBay for sale through NexoRush.
Digital Product means downloadable or electronically supplied content, software, code, templates, documents or other digital material offered through NexoRush.
Freelance Service means professional work supplied by a Seller to GlobalBay and performed for the benefit of a Buyer under an accepted service package or custom offer.
Order means a completed purchase of a Digital Product or a funded Freelance Service project.
Seller Remuneration means the amount payable by GlobalBay to the Seller for the Seller’s underlying supply, calculated under these Terms, the Seller Agreement and the applicable transaction record.
Buyer Tax means VAT, sales tax or another indirect tax applicable to GlobalBay’s sale to the Buyer.
Seller Tax means VAT or another transaction tax, if any, applicable to the Seller’s separate supply to GlobalBay.
2. Platform role and contracting structure
For purchases completed through NexoRush Checkout, GlobalBay operates NexoRush as Merchant of Record toward the Buyer. GlobalBay is the contracting seller to the Buyer, receives the Buyer’s payment through its payment provider account, issues the Buyer-facing invoice or receipt, administers Buyer Tax where applicable, and manages payment refunds and chargebacks.
The Seller makes a separate underlying supply to GlobalBay. Depending on the transaction, that underlying supply may be a licence or digital content, a professional service, or a project deliverable. The intended commercial chain is:
Seller → GlobalBay/NexoRush → Buyer.
The Buyer does not owe the Seller a separate payment for an Order completed through NexoRush. Payment made by the Buyer through the authorised NexoRush Checkout satisfies the Buyer’s payment obligation for that Order, subject to successful settlement and any later refund, reversal or chargeback.
Sellers are independent suppliers and are not employees, workers, partners or agents authorised to bind GlobalBay. Stripe, Stripe Connect, Payoneer and any future payout provider are payment or payout providers only. The payout provider used for a Seller does not determine the contractual supply chain or the Seller’s tax treatment.
3. Eligibility and accounts
You must be at least 18 years old and legally capable of entering into a binding contract.
You must provide accurate, current and complete information and keep it updated.
You are responsible for safeguarding your credentials, sessions and devices and for activity performed through your account.
You must promptly notify us if you suspect unauthorised access or misuse.
You must not create accounts using false identities, impersonate another person, evade a suspension or use NexoRush for unlawful activity.
We may require email verification, identity verification, business information, tax information or payout verification before permitting particular actions. Verification does not constitute an endorsement of a user or a guarantee of performance.
4. Digital Products
Sellers retain ownership of their original Digital Products and intellectual property. By listing a Digital Product, the Seller confirms that it has all rights required to supply the product and authorises GlobalBay to market, distribute, sell and grant the applicable end-user licence for that product through NexoRush.
The Buyer receives only the rights stated in the applicable listing and Licensing Terms. Unless expressly permitted, the Buyer must not resell, redistribute, share, sublicense, publish or make the Digital Product available to third parties.
The Buyer must review compatibility, technical requirements, documentation, licence scope and product limitations before purchasing. Statutory rights relating to conformity, defective digital content and misleading descriptions remain unaffected.
5. Freelance Services
A Freelance Service Order is based on the selected service package or accepted custom offer, together with the requirements submitted by the Buyer. The project record may include the agreed title, scope, price, delivery period, number of revisions, features and required information.
The Seller supplies the underlying professional service to GlobalBay and performs the agreed work for the benefit of the Buyer. GlobalBay remains the Buyer’s contracting party for the Order. The Seller remains responsible to GlobalBay for performing the work lawfully, professionally and in accordance with the accepted scope.
Messages or attachments do not change the agreed scope, price or delivery period unless the change is clearly confirmed through an accepted offer, revision or other designated NexoRush workflow. Users should keep project communications, requirements, deliveries and dispute evidence within NexoRush.
The delivery timer begins only after successful payment and submission of any required project information. Delivery dates may be adjusted where the Buyer delays required information, accepts a revised scope or where another adjustment is recorded in the project.
NexoRush provides a controlled project and payment-release workflow, but is not a bank, trust company or independently licensed escrow provider. References to payment protection or controlled release describe platform functionality and do not mean that NexoRush provides a regulated escrow service.
6. Prices, fees and taxes charged to Buyers
The final amount payable is displayed before the Buyer confirms payment.
6.1 Digital Products
The Buyer pays the displayed Digital Product price, plus applicable Buyer Tax. Any discount or other Buyer-facing charge will be itemised before payment.
6.2 Freelance Services
The Buyer pays:
the agreed Freelance Service price;
a NexoRush Buyer service and protection fee, currently calculated as 5% of the service price plus €1 per checkout; and
applicable Buyer Tax calculated separately.
The checkout summary controls the amount for the individual transaction. If NexoRush supports another currency, the checkout may show an equivalent fixed fee or another clearly disclosed amount. We will not add an undisclosed fee after payment confirmation.
We may change future fees by updating the applicable terms and checkout disclosure. Material changes affecting existing users will be notified in accordance with Section 22.
6.3 Buyer Tax
Where enabled, Stripe Automatic Tax or another tax service may calculate Buyer Tax using information such as the Buyer’s location, billing details, tax status, the nature of the item and the tax registrations configured for GlobalBay. The Buyer must provide accurate checkout and tax information.
Buyer Tax relates to GlobalBay’s sale to the Buyer. It is legally and technically separate from any Seller Tax applicable to the Seller’s underlying supply to GlobalBay. Buyer Tax is not copied to a Seller self-billing invoice and does not determine Seller Tax.
7. Seller remuneration and platform revenue
Digital Product and Freelance Service transactions use separate remuneration rules.
7.1 Digital Products
Unless a transaction-specific arrangement states otherwise, NexoRush deducts the applicable marketplace commission from the Digital Product net price:
Exclusive Digital Products: 15%;
Non-exclusive Digital Products: 20%.
The remaining amount is the Seller’s net remuneration before any applicable Seller Tax and before permitted adjustments such as refunds, chargebacks or reversals.
7.2 Freelance Services
Unless an accepted offer expressly states otherwise, the agreed Freelance Service price is the Seller’s net remuneration. The Buyer service fee is separate platform revenue and is not deducted from that agreed Seller remuneration. Refunds, chargebacks, project adjustments and amounts required by law may reduce the amount ultimately payable.
7.3 Seller Tax
If a reviewed Seller tax treatment requires Seller Tax to be charged in addition to net remuneration, the approved Seller Tax amount is added to the Seller’s net remuneration when calculating the total payable. It is not treated as GlobalBay’s commission or margin.
GlobalBay does not determine Seller Tax from the Seller’s payout provider, legal form or country alone. If the information and evidence available are insufficient or inconsistent, the transaction may be marked for manual review. No final self-billing tax invoice will be generated by guessing a VAT rate, exemption or reverse-charge treatment.
8. Seller onboarding, tax information and self-billing
Sellers must provide accurate legal identity, establishment, address, tax-registration and payout information where requested. Legal form and tax-registration status are separate matters. A company is not automatically treated as VAT registered, and an individual or self-employed Seller is not automatically treated as exempt.
Where the requirements are satisfied, GlobalBay may prepare a self-billing invoice in the Seller’s name for the Seller’s supply to GlobalBay. Self-billing requires a separate, affirmative agreement by the Seller. Registration alone and acceptance of these general Terms do not constitute self-billing consent.
A self-billing document identifies the Seller as supplier and GlobalBay as customer. It is separate from the invoice or receipt issued by GlobalBay to the Buyer. The Seller must review each issued document and promptly report an incorrect document using the available dashboard procedure. An incorrect issued document will not be silently rewritten; any correction, credit or replacement will be recorded separately.
The detailed process is described in the Self-Billing Policy and the separately accepted Self-Billing Agreement. Sellers remain responsible for checking their own tax information, retaining required records and meeting tax obligations applicable to them.
9. Payout eligibility and payout providers
Seller earnings become eligible for payout only after the relevant payment has settled and applicable delivery, review, refund, dispute, fraud, reserve, tax-review and compliance controls have been completed.
Depending on the Seller’s supported country and verified payout details, NexoRush may route an eligible payout through Stripe Connect, Payoneer or another disclosed provider. Payout routing is operational and does not establish a VAT or tax conclusion.
A payout may be delayed, held, adjusted or refused where:
identity, business, tax or payout information is missing, expired or inconsistent;
a payment, refund, chargeback, dispute or fraud review remains unresolved;
the Seller has not accepted the current Self-Billing Agreement where self-billing is required;
a final Seller tax treatment cannot safely be established;
the payout provider rejects or delays the transfer;
the transaction or account may violate these Terms, a policy or applicable law; or
GlobalBay is required to hold funds by law, court order or a payment provider.
Payout status, amount, currency, provider and reference are recorded separately from Seller remuneration and Seller Tax. A transfer of funds is not itself treated as a new supply merely because the payout occurs later or through a particular provider.
10. Payments and payment providers
Payments are processed by third-party providers such as Stripe. NexoRush does not store full payment-card details. Payment providers may apply their own security, authentication, verification, availability and prohibited-business rules.
A checkout attempt does not create a paid Order until payment is successfully confirmed. We may cancel or investigate a payment where fraud, abuse, pricing error, sanctions risk or unauthorised use is reasonably suspected.
11. Consumer withdrawal rights and immediate performance
Consumers may have a statutory right to withdraw from a distance contract within 14 days, subject to exceptions and national mandatory law.
For Digital Products supplied immediately, checkout may request the Buyer’s prior express consent to begin supply during the withdrawal period and acknowledgement of the applicable effect on the right of withdrawal once access, download or other performance begins.
For Freelance Services requested to begin during the withdrawal period, checkout may request the Buyer’s express request for early performance and acknowledgement that the right of withdrawal may be lost once the service is fully performed. If a consumer validly withdraws after requesting that performance begin but before full performance, the consumer may be required to pay a proportionate amount for work already performed where permitted by law.
These provisions do not remove statutory rights relating to non-conforming, defective, misdescribed or undelivered products or services. Further details appear in the Refund Policy.
12. Refunds, chargebacks and corrections
Refunds may be full or partial and are processed in accordance with the Refund Policy, the transaction record and mandatory law. Approved refunds are generally returned to the original payment method where supported.
A Buyer refund may require:
a Buyer-facing credit note or refund document;
a reduction or reversal of Seller remuneration;
a Seller-side self-billing credit note or other corrective document where a self-billing invoice was already issued; and
an adjustment to platform revenue, Buyer Tax, Seller Tax or payment-processor records.
If a refund or chargeback occurs after payout, GlobalBay may recover or offset the corresponding Seller amount against future earnings where permitted by the Seller Agreement and applicable law. We will not silently alter an issued fiscal document.
13. Project disputes and platform decisions
For a Freelance Service dispute, NexoRush may review the accepted scope, project requirements, messages, delivery records, files and evidence submitted through the platform. Opening a dispute may pause delivery, completion, refund and payout actions while the matter is reviewed.
We may request additional evidence and may determine an operational resolution including continued performance, revision, cancellation, full or partial refund, release or adjustment. Our platform decision does not prevent a consumer from exercising mandatory legal rights or either party from using a legally available court or alternative dispute-resolution process.
14. Seller responsibilities
Every Seller represents and warrants that:
their listings, services, files and statements are accurate and not misleading;
they hold all intellectual-property, privacy and other rights required for the supply;
their content and deliverables do not contain malware, hidden harmful functionality or unlawfully obtained material;
they will perform Freelance Services professionally and in accordance with the accepted scope;
they will not issue a duplicate invoice for a supply already covered by a valid self-billing invoice;
they will promptly report changes to legal, tax, VAT, address or payout information;
they will comply with export controls, sanctions, tax, consumer, employment and professional rules applicable to them; and
they will cooperate reasonably with refunds, disputes, security investigations and lawful compliance requests.
15. Buyer responsibilities
Every Buyer must:
provide accurate billing, tax and project information;
review product requirements, licences, service scope, delivery time and revision limits before paying;
use Digital Products and deliverables only as permitted by the applicable licence;
not make an unauthorised chargeback or misuse refund procedures;
not request unlawful, infringing, deceptive or harmful work; and
inspect deliveries and raise a genuine issue within the applicable review period where reasonably possible.
16. Prohibited content and conduct
You must not use NexoRush to create, upload, sell, request, deliver or distribute:
illegal, fraudulent, deceptive or infringing material;
malware, credential theft, unauthorised access tools or harmful code;
content that unlawfully exploits, harasses or discriminates against another person;
unlicensed personal data, confidential information or stolen content;
misleading financial schemes, scams or prohibited regulated services; or
anything prohibited by our policies, payment providers or applicable law.
You must not manipulate reviews, transactions, referrals, search results or platform metrics; bypass fees or security controls; scrape private data; interfere with NexoRush; or move an active project off-platform to evade protections or charges.
17. Communications, files and privacy
Project messages, requirements, offers, delivery files and dispute evidence may be processed to perform contracts, secure the platform, prevent fraud, resolve disputes and comply with law. Authorised administrators may access private project records only where reasonably necessary for support, safety, compliance or dispute handling.
Users should not place passwords, unnecessary contact details, health information or other sensitive personal data in project communications. Personal-data handling is described in the Privacy Policy.
18. Intellectual property and platform licence
NexoRush branding, software, interface, text and platform content, excluding user-owned content, are owned by or licensed to GlobalBay. You may not copy, reverse engineer, exploit or redistribute them except as permitted by law or written authorisation.
By uploading content to NexoRush, you grant GlobalBay a non-exclusive, worldwide licence to host, process, reproduce, display and transmit that content only as reasonably necessary to operate, secure, promote and provide the marketplace, complete Orders and comply with law. This licence does not transfer ownership of the underlying content.
Copyright complaints are handled under the Copyright Policy.
19. Suspension and termination
We may restrict listings, payments, payouts, communications or account access where reasonably necessary to address suspected fraud, security threats, illegal content, sanctions, policy violations, payment risk, tax or identity inconsistencies, repeated non-performance or legal obligations.
Where legally required, we will provide a statement of reasons and access to an internal complaint process. Urgent action may be taken without advance notice where necessary to prevent harm, comply with law or protect users and payment systems.
Account closure does not cancel accrued obligations, refunds, chargebacks, outstanding projects, document-retention duties or amounts lawfully due. Existing fiscal and transaction records will not be deleted merely because an account is closed.
20. Availability and third-party services
We aim to keep NexoRush available and secure but do not guarantee uninterrupted or error-free operation. Features may be changed, suspended or withdrawn for maintenance, security, legal or operational reasons.
NexoRush relies on third parties including hosting, payment, payout, email, analytics and identity-verification providers. We are not responsible for failures outside our reasonable control, but this does not limit responsibilities that cannot lawfully be excluded.
21. Liability and indemnity
Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, death or personal injury caused by negligence, breach of mandatory consumer law, or any liability that cannot legally be limited.
Subject to the previous paragraph and to the maximum extent permitted by law, GlobalBay is not liable for indirect or consequential loss, loss of opportunity, loss of anticipated profit, or damage caused solely by a user’s unlawful content, inaccurate information, incompatible environment or breach of these Terms.
Business users agree to indemnify GlobalBay against third-party claims and reasonable costs arising from their unlawful content, infringement, tax misrepresentation, breach of an accepted project obligation or violation of these Terms, except to the extent caused by GlobalBay.
Any limitation applicable to consumers applies only to the extent permitted by mandatory consumer law.
22. Changes to these Terms
We may update these Terms for legal, regulatory, security, product or commercial reasons. Proposed material changes affecting existing business users will be notified by email, an in-platform notice or another durable medium within a reasonable and proportionate period that is normally at least 15 days before the general effective date. A longer period may be provided where a change requires significant technical or commercial adaptation.
The advance-notice period does not apply to a purely editorial correction that does not change the content or meaning of these Terms. It may also be shortened only to the extent permitted by applicable law, including where GlobalBay is subject to a legal or regulatory obligation that requires an earlier change or must exceptionally address an unforeseen and imminent fraud, malware, data-breach or cybersecurity danger.
An existing business user may choose to adopt an updated version before the general effective date only through a separate, clear affirmative action that unambiguously accepts the updated version and waives the remaining notice period. The control must not be pre-checked. Continued browsing, silence or ordinary account use alone does not constitute such a waiver.
These Terms apply immediately to a new user who receives them before entering the relationship and expressly accepts them. For an existing user who expressly adopts them early, they apply from the recorded acceptance time. They do not retroactively change completed transactions or previously issued documents.
Where affirmative acceptance is required, continued use alone will not replace that acceptance. Updated self-billing terms require a separate Seller agreement. The accepted version and time may be recorded for audit and compliance.
If you do not agree to a material update, you may stop using NexoRush and request account closure, subject to outstanding Orders, disputes, payouts and legal retention obligations.
23. Complaints and dispute resolution
Please first contact support@nexorush.com. Include the relevant Order or project reference but do not email passwords or full payment-card details.
Eligible users may submit a complaint regarding a platform restriction or content decision through the available internal complaint process. EU consumers may also seek assistance from a competent European Consumer Centre or legally recognised alternative dispute-resolution body.
24. Governing law and jurisdiction
These Terms are governed by the laws of the Netherlands. For consumers, this choice does not remove mandatory protections provided by the law of the consumer’s habitual residence.
Disputes may be submitted to the competent courts of the Netherlands. Consumers may also bring proceedings in another court available to them under mandatory consumer and jurisdiction rules.
25. General provisions
If any provision is found invalid or unenforceable, the remaining provisions continue in effect. A failure to enforce a provision is not a waiver. You may not transfer your account or obligations without our consent. GlobalBay may transfer these Terms as part of a lawful restructuring, business transfer or succession, subject to applicable notice and consumer rights.
Transaction-specific checkout disclosures, the accepted service package or custom offer, the Licensing Terms, Refund Policy, Seller Agreement, Self-Billing Policy and Privacy Policy form part of the applicable contractual framework. Mandatory law prevails over any conflicting provision. For a transaction amount, the final checkout summary controls.
